I work on the equity syndicate desk in the Global Capital Markets group. We price initial public offerings the first time that a company issues shares. An IPO allows a company to raise capital to fund its growth. Its a big moment in the life of the company. The deal often ends up being a key branding event and allows the company to establish a partnership with its most important investors.

A big part of what we do is to help the client determine where the deal is going to be priced. On the day of an IPO, the company and its entire shareholder base, new and existing, must agree on a single price to sell IPO shares. We spend time talking to investors and to the corporate client to find the optimal price for the deal. Morgan Stanley is set to commit $1m to startups run by women or ethnic minorities in Europe, as the Wall Street bank expands a programme it has run in the US since 2017.

The US bank is aiming to help provide seed capital to a group of companies that often struggle to find funding, and will be offering £200,000 each to five start-ups in Europe, the Middle East and Africa with either female or ethnic minority founders in a ‘Dragons’ Den’ style pitch process run over five months that allows entrepreneurs to present to investors.

Abundant Capital From Private Equity And Spacs

Private equity firms may also continue to contribute significantly to 2021 M& A volume. Sponsor-backed transactions comprised 26% of overall M& A activity in 2020, the highest proportion since before the global financial crisis.3 By the end of 2020, financial sponsors were sitting on a record $2.9 trillion of available capital.4The sheer amount of private-equity dry powder could portend sizeable leveraged buyouts or other transactions that take publicly-traded companies private and sponsors may deploy capital in increasingly innovative ways.

Talk About Your Most Significant Accomplishment

Working on the big deals, like Alibaba, Facebook and LinkedIn, has been rewarding, and tremendously important to the firm, but I most remember the first time I was able to lead a transaction by myself. One of the best aspects of working at Morgan Stanley is the trust and responsibility senior bankers invest in the junior team. The first couple of deals I led as the syndicate deal captain were smaller lower-profile deals, but I had much more direct dialogue with the management teams and was more integral to the pricing process. Those two deals, from my perspective, were just as rewarding as the large tech deals: The excitement of the management team is contagious, especially when the stock trades well on day one.

In 2020, the market for mergers and acquisitions evolved rapidly in phases. Transaction volumes started modestly, with fewer large deals compared to 2019, but the M& A market had plenty of potential to gather momentum. Then the novel coronavirus hit, and by late March, most deal-making had come to a standstill. Focused on transitioning staff to working from home, shoring up balance sheets and maximizing liquidity, many companies shelved any M& A plans they may have had.

This year, the M& A market couldnt be more different. Its already begun by carrying over momentum from a flurry of deals in the latter half of 2020 and stands poised to accelerate, according to Morgan Stanleys M& A bankers. I’m originally from Dallas. Ive always had an interest in finance, so when I went to Duke, I majored in economics, with a finance concentration. Naturally, I began exploring internship opportunities at some of the larger firms, and I found my fit at Morgan Stanley

The summer after my junior year of college, I joined Morgan Stanley for a 10-week internship in Global Capital Markets. I fell in love with the work and the people. So when I was given the chance to join as a full-time Analyst, I jumped at it. I spent three years as an Analyst and was recently given the opportunity to move into Investment Banking, where I was promoted to Associate.

History Of Morgan Stanley

Morgan Stanley was formed as a result of the Glass-Steagall Act that required United States banks to separate their investment banking and commercial banking businesses. It followed the Great Depression when there were a series of bank runs, and commercial banks were accused of taking too many risks using depositors funds. When J.P. Morgan chose to continue with commercial banking, some of its employees, notably Henry S. Morgan and Harold Stanley, left the company to start an investment banking company.

Morgan Stanley first opened its doors to the public on September 16, 1935, at 2 Wall Street, New York City. In its first year, the company achieved a 24% market share among public offerings and private placements. It was appointed the lead underwriter in the distribution of debentures for the United States Corporation in 1938. — A Morgan Stanley veteran who has led the U.S. banks highly-ranked merger advisory team in Japan for more than a decade is retiring.

Haruo Nakamura plans to leave the firm next year after having served as head of Japan investment banking since 2006, according to an internal memo seen by Bloomberg News. He will also resign as Mitsubishi UFJ Morgan Stanley Securities Co.s chief executive officer of investment banking, handing the job in March to Kensaku Bessho, the memo said. Morgan Stanley spokeswoman Mika Watanabe confirmed its contents.

Nakamura is ending his 32-year Morgan Stanley career just as corporate Japan wraps up its busiest year on record for mergers and acquisitions. The U.S. bank has been vying this year with Goldman Sachs Group Inc. for the top ranking for advising deals involving Japanese firms, according to Bloomberg data, a spot Morgan Stanley has won three times during the past decade.

Bessho is currently serving as the firms head of M& A in Japan. Nakamura will support the transition before he retires.

What Advice Would You Give Students Interested In Capital Markets

Establishing your own point of view is critical to success in this business. As product experts, clients expect us to have a differentiated perspective on a myriad of industry information and trends, all of which influence deal execution. However, I also think that viewpoint needs to extend beyond product specifics. When you are with clients, it helps to be multidimensional. Many conversations move beyond the specifics of the deal, and having something to say about your outside interests creates a personal connection and can help de-stress the pressure of the deal. You dont want to just be their banker you want to establish a lasting relationship predicated on both professional and personal trust.

What Skills Does Someone Need To Succeed At Morgan Stanley

You build your toolbox over time. Coming in, I think a positive attitude and a willingness to run hard is the most important. As an Analyst or Associate, you’re the Grand Central Station of everything that happens with your projects. You need to make sure you have the right things coming up the tracks and are responding to things coming down the tracks, while managing all the structure in between. That requires a lot of diligence and attention to detail, and a lot of organizational capacity. Over time, you develop skills in public speaking, negotiation and strategic thinking.

In terms of education, I lean on my accounting background more than my religion background in this job. But dealing with people and understanding different types of people is something you pick up in the humanities. When we think about our team, we want to make sure we have the right balance of people. We look for people who have analytical rigor but also the maturity and communication skills to manage difficult processes with the client and internal teams. Finally, I think a lot of people in Investment Banking thrive on the excitement and intensity of the job. When there’s an urgent situation or crisis moment for a client, that’s when we as bankers add the most value.

Morgan Stanley traces its roots to J.P. Morgan & Co. Following the GlassSteagall Act, it was no longer possible for a corporation to have investment banking and commercial banking businesses under a single holding entity. J.P. Morgan & Co. chose the commercial banking business over the investment banking business. As a result, some of the employees of J.P. Morgan & Co., most notably Henry S. Morgan and Harold Stanley, left J.P. Morgan & Co. and joined others from the Drexel partners to form Morgan Stanley. The firm formally opened the doors for business on September 16, 1935, at 2 Wall Street, New York City, just down the street from J.P Morgan. The firm was involved with the distribution of 1938 US$100 million of debentures for the United States Steel Corporation as the lead underwriter. The firm also obtained the distinction of being the lead syndicate in the 1939 U.S. rail financing. The firm went through a reorganization in 1941 to allow for more activity in its securities business.

The firm was led by Perry Hall, the last founder to lead Morgan Stanley, from 1951 until 1961. During this period, the firm co-managed the World Bank’s triple-A-rated bonds offering of 1952, as well as coming up with General Motors‘ US$300 million debt issue, US$231 million IBM stock offering, and the US$250 million AT& T’s debt offering.

In 1996, Morgan Stanley acquired Van Kampen American Capital.
