Privately Owned Public Space Agreement Violation

According to a New York City Comptroller audit in April 2017, BNY Mellon was in violation of a privately owned public space agreement for at least 15 years. In constructing the 101 Barclay Street building in Lower Manhattan, BNY Mellon had received a permit allowing modification of height and setback regulations in exchange for providing a lobby accessible to the general public 24 hours a day. Auditors and members of the public had been unable to access or assess the lobby for many years, and were actively prevented from doing so by BNY Mellon security.

In September 2018, the company began to permit public access to a portion of the lobby. However, BNY Mellon remains in violation of its agreement, as the lobby must be accessible to the public 24 hours a day. As of early 2021 the city Comptroller reported that company security personnel prevented auditors from entering or photographing the lobby and was seeking to have the “public lobby” designation removed.

Merger With Bank Of New York

In 2006, Mellon announced its plans to merge with Bank of New York. Talks began when Tom Renyi approached Robert Kelly about a possible amalgamation between the Bank of New York and Mellon Financial Corporation. The $16.5 billion deal was announced in December 2006 and finalized on July 1, 2007, with Kelly as the chief executive officer of the new company, and Renyi as executive chairman. Per the deal, the new Board of Directors is composed of ten directors appointed by the Bank of New York, and eight by Mellon.

The merger was completed July 1, 2007, as The Bank of New York Mellon. Headquartered in New York, it is the world’s largest securities servicing firm and one of the world’s top ten asset managing firms. The new venture launched its brand identity on October 1, 2007.

These two companies, along with State Street, followed essentially the same evolution. All were originally large diversified financial service providers, particularly in the corporate banking space in the regions they were located in. However, competition in the corporate loans and retail banking businesses saw them jettison these operations in favor of what were believed to be more stable, fee based business: asset management and asset servicing .

What To Watch Out For

As is the case with many of its close competitors, BNY Mellon has nine disclosures. However, all but one of these disclosures are attributed to The Bank of New York Mellon Corporation as a whole.

Most recently, in 2017, BNY Mellon’s parent company agreed to pay $6.6 million to settle charges that it hadn’t properly handled collateralized loan obligation assets. In 2015, in perhaps the companys most high-profile settlement, The Bank of New York Mellon Corporation paid $14.8 million to settle U.S. civil charges that it had violated federal bribery laws by giving internships to family members of officials linked to a Middle Eastern sovereign wealth fund.

Also, because BNY Mellon generally requires a minimum annual fee of at least $25,000, many of its investment strategies are out of reach for lower-level investors.

Additionally, BNY Mellon does charge performance-based fees for certain accounts or funds. These fees are based on a portfolio’s net return in excess of a specified benchmark or hurdle rate during a specified period of time, or they may be based on absolute return strategies. Also note that certain BNY Mellon employees earn commissions from selling securities, which may create a potential conflict of interest.
